Mobile Message Service Terms and Conditions

The IRSplus mobile message service (the "Service") is operated by “IRSplus”, “we”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

By consenting to IRSplus’s SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of IRSplus through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages may include updates, alerts, and information (e.g., order updates, account alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).  You agree to bear any risk related to a third party’s use of your device, or disclosure arising out of unauthorized viewing of your device in any public forum. 

You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with IRSplus. Your participation in this program is completely voluntary.

We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.

You may opt-out of the Service at any time. Text the single keyword command STOP to [insert your sending number] or click the unsubscribe link (where available) in any text message to cancel. You'll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other IRSplus mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms. For Service support or assistance, text HELP to [insert your sending number] or email Support@IRSplus.com.

We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.

The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.

Acceptance of the Terms of Use

The following Terms and Conditions govern your use of our Website and Services, including, but not limited to, our web interface located at https://www.IRSplus.com (“Website”) (collectively, the “Services”).

These Terms and Conditions and the terms set forth in the Client Agreement (the “Terms”) are a binding contract between your Company and Sunrise Business Solutions, LLC d/b/a IRSplus (“Sunrise Business Solutions”). As used in these Terms, “we”, “us”, “our”, or “the Company” also refers to Sunrise Business Solutions. 

You must agree to and accept all of the Terms, or you do not have the right to use the Services. Your use of the Services in any way means that you agree to all of these Terms, and these Terms will remain in effect while you use the Services. These Terms include the provisions in this document, as well as those in our Privacy Policy, and any other terms and conditions that Sunrise Business Solutions may reference or incorporate into these Terms from time to time.

You acknowledge and agree that these Terms are the complete and exclusive statement of the mutual understanding between you and Sunrise Business Solutions, and that it supersedes and cancels all previous written and oral agreements, communications, and other understandings relating to the subject matter of these Terms including any statements or promises made by our agents or representatives. You hereby acknowledge and agree that you are not an employee, agent, partner, or joint venture of Sunrise Business Solutions, and you do not have any authority of any kind to bind Sunrise Business Solutions in any respect whatsoever and no agent, representative or employee of Sunrise Business Solutions made any oral guaranty to you.

This Website is offered and available to users who are 18 years of age or older. By using this Website, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Website.

Incentive programs that could be available for your company include, but are not limited to, Self Employed Tax Credits, Employee Retention Credit, Section 41 Research & Experimentation Credits, Energy EP Act 179D, as well as Hiring-based Incentives, Federal HUD Zone Credits, State Location-based Credits, and Employee Reimbursement Incentives.

Sunrise Business Solutions is a tax incentive accounting consulting firm. To ensure compliance with requirements imposed by the IRS, this disclosure is hereby included to inform you that Sunrise Business Solutions pays a portion of the fee which it receives from clients to be paid based on its hourly rates to Tax Attorneys, Accountants, CPAs, MBAs, PHDs, Engineers, Software Developers, Accounting Professionals who may subcontract due to IRS circular 230 to find refunds, deductions, credits, and incentives Clients can claim. Our team of experts identify, quantify, qualify, and calculate the refunds due to our Clients. Sunrise Business Solutions will answer any questions and provide backup data for any inquiry.

Changes to the Terms of Use

Sunrise Business Solutions is constantly working to improve its Services, and these Terms may need to be updated. Sunrise Business Solutions reserves the right to change these Terms at any time including any scrivener errors or mistakes contained herein. Updates to these Terms will be made available on the Sunrise Business Solutions Website (https://www.IRSplus.com/terms&privacy) may suspend or discontinue any part of the Services, or Sunrise Business Solutions may introduce new features or impose limits on certain features or restrict access to parts or all of the Services. Sunrise Business Solutions reserve the right to remove any content from the Website or Services at any time, for any reason in our sole discretion, and without notice.

If you do not agree with the new Terms after any changes, please immediately discontinue your uses of the Website and Services. If you use the Services in any way after a change to the Terms is effective, that means you agree to all of the changes.

These Terms of Service, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Sunrise Business Solutions without restriction. Any attempt to assign or transfer these Terms of Use and any rights and licenses will be null and void.

Your Company may disclose or make available to Sunrise Business Solutions information about its business affairs, products/services, confidential intellectual property, trade secrets, third-party confidential information, and other sensitive or proprietary information, in electronic, or other form or media, and whether or not marked, designated, or otherwise identified as "confidential" (collectively, “Confidential Information"). Confidential Information shall not include information that, at the time of disclosure: (i) is or becomes generally available to and known by the public other than as a result of, directly or indirectly, any breach of this Confidentiality provisions by Sunrise Business Solutions or any of its Representatives; (ii) is or becomes available to Sunrise Business Solutions on a non-confidential basis from a third-party source, provided that such third party is not and was not prohibited from disclosing such Confidential Information; (iii) was known by or in the possession of Sunrise Business Solutions before being disclosed by or on behalf of the your Company; (iv) was or is independently developed by Sunrise Business Solutions without reference to or use, in whole or in part, of any of your Company’s Confidential Information; or (v) is required to be disclosed under applicable federal, state or local law, regulation, or a valid order issued by a court or governmental agency of competent jurisdiction. 

In order for Sunrise Business Solutions and its subcontractors to conduct their review and determination of qualification for various State and Federal tax credits, certain information will be made available to Sunrise Business Solutions, its field consultants and subcontractors, which may include Payroll Tax Returns, State and Federal Income Tax Returns and other supplementary information. As your Company has agreed to furnish these confidential records, Sunrise Business Solutions and its agents, agree to hold confidential or proprietary information in trust and confidence and agrees that it shall be used only for the contemplated purposes necessary. Should a Consulting Agreement be signed by the two parties, Sunrise Business Solutions will make third-party disclosures to the State Taxing Authority and/ or Internal Revenue Service for the purpose of securing tax credits and/or refunds for the Client. This confidential information will not be shared or disclosed to any other third party, except the employees/associates of who have a need to know.

These Terms and Conditions will also govern all communications between the parties, including fax and email. Client gives referring field consultant permission, as a conduit to Sunrise Business Solutions and subcontractors of Sunrise Business Solutions, to receive and deliver the completed documents.

Trademarks

The trademarks, logos, and service marks (collectively the “Trademarks”) displayed on the Website are registered and unregistered Trademarks of the administrator(s) of the Website and others. Nothing contained on the Website should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the Website without our written permission or the permission of such third party that may own the Trademarks displayed on the Website.

Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website:

• In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).

Client Referrals

If you make a referral of Sunrise Business Solutions to another party, Sunrise Business Solutions we reward you with a gift of $50, or in the event that the SETC for the referred party is less than $1,500, then 10% of the fee received by Sunrise Business Solutions.  This gift is subject to the following conditions; (1) retention of Sunrise Business Solutions by the referred parties, (2) the receipt by the referred party of a SETC and (3) the use of PayPal check out by referred party.  Please note that this gift, if all conditions have been met, shall be remitted through the PayPal account associated with the email of your account.  

Reliance on Information Posted
